These Terms of Service (“Terms”) govern your use of the ProCollabs website and services. By using ProCollabs, you agree to these Terms. If you do not agree, do not use the site.
These Terms apply to all visitors to the site, including registered and unregistered users, and certain provisions specifically apply only to members with accounts.
Any references to ‘user’, ‘you’, ‘your’, ‘member’, ‘artist’, or ‘project owner’ refer to you as a user of the site. References to ‘site’, ‘we’, ‘us’, and ‘our’ refer to ProCollabs and the ProCollabs.com website.
By accessing and using ProCollabs, you accept and agree to be bound by these Terms. Additional guidelines, rules, or posted instructions are incorporated by reference and may be modified from time to time.
ANY PARTICIPATION ON PROCOLLABS CONSTITUTES ACCEPTANCE.
ProCollabs may modify these Terms at any time. Continued use after modifications indicates acceptance of the updated Terms.
ProCollabs is an online platform enabling musicians, songwriters, producers, engineers, and other creatives to collaborate on music projects. The platform allows you to:
ProCollabs operates as a user-generated content (UGC) platform; users are responsible for the content they upload.
The site uses Amazon Web Services (AWS) and other third-party secure web technologies to host and operate the platform.
You must create an account to use ProCollabs. Registration information must be true, accurate, and complete.
ProCollabs reserves the right to suspend or terminate accounts, remove content, or restrict access at its sole discretion, with or without notice, for any reason including suspected violations of these Terms.
Single Account Rule: You may maintain only one account. False or duplicate accounts may be terminated.
Login Credentials: Keep your username and password secure; you are responsible for all activity under your account.
Account Disclosure: We may disclose information to enforce legal claims or protect site safety.
Members must maintain authentic accounts and may not create accounts that are deliberately misleading, deceptive, offensive (see section 5), or fraudulent.
Humor, pseudonyms, or cartoon avatars are allowed, provided they do not misrepresent identity or intent in a way that harms or misleads other users. Accounts found to be intentionally misleading may be suspended or permanently terminated at ProCollabs’ discretion.
You agree to provide accurate, complete, up-to-date, and valid email contact information at all times.
You are responsible for promptly updating your contact information if it changes.
ProCollabs reserves the right to suspend or delete your account if your email address becomes invalid, unreachable, or otherwise outdated (e.g., emails bounce or fail to deliver).
Failure to maintain accurate contact information may affect financial transactions, account verification, project participation, and access to certain site features.
If you choose to delete your account, you acknowledge and agree that you forfeit any remaining balance in your account, credits, add-ons, membership benefits, or any potential claim to compensation from ProCollabs.
Account deletion is permanent and cannot be reversed.
Before deleting your account, we highly recommend withdrawing any and all outstanding ‘cash’ in your cash account balance.
ProCollabs credits are non-refundable and cannot be converted to cash or withdrawn.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use ProCollabs.
By using the platform, you confirm that you have the legal capacity to enter into a binding agreement.
ProCollabs is a platform intended for use by real individuals. By creating an account, you confirm that you are a natural person.
ProCollabs may implement technical measures to detect and block automated or non-human activity, and users agree not to attempt to bypass such measures.

ProCollabs encourages diversity, inclusion, and constructive collaboration. Violation of these standards may result in content removal, suspension, or termination of your account at ProCollabs’ discretion.
Permission to use the site may be revoked for inappropriate conduct or breaches of these Terms.
ProCollabs verification procedure is intended to confirm that a member is real and intends to participate constructively.
Certain site functions, such as downloading project files, require verified status.
Verification may involve staff screening of your online profile(s) and/or completing a non-refundable financial transaction via PayPal.com.
ProCollabs may revoke verification or suspend accounts if verification criteria or platform rules are violated.
You retain ownership of all content uploaded, including:
You may only upload content you own or have permission to use.
ProCollabs reserves the right, but not the obligation, to monitor, review, edit, or remove content at its discretion.
By uploading content, you grant ProCollabs a non-exclusive, worldwide, royalty-free, perpetual license to:
This license covers all forms of your content, including audio, video, lyrics, images, and any other media uploaded, linked, or embedded on the platform. You retain full ownership of your content; this license does not transfer copyright to ProCollabs.
Content may only be used as permitted by copyright owners.
Downloading unlicensed content for redistribution is prohibited.
ProCollabs allows members to collaborate on cover songs or other derivative works, but certain permissions (i.e. licensing) may be required from copyright owners.
ProCollabs does not provide licenses or legal advice, nor does it obtain permissions on behalf of members.
ProCollabs reserves the right to remove any cover song or derivative project that appears to infringe copyright, without warning or explanation.
Public display of lyrics for cover songs or derivative works may also require additional permission from the copyright holder. Posting lyrics without proper authorization may constitute copyright infringement, even if a mechanical license has been obtained for the composition. Members are responsible for securing any necessary rights and for documenting the status of lyric permissions where applicable.
For this reason, we advise against posting song lyrics when completing a cover song project unless the proper permissions have been attained.
Tools provided by ProCollabs do not constitute legal approval or licenses.
Users remain solely responsible for copyright compliance.
Content may still be subject to third-party claims or disputes.
ProCollabs may terminate users who are repeat infringers.
By submitting music, videos, lyrics, or other creative content to a project, you allow collaborators to use your contributions only within that project. You retain ownership of your contributions unless otherwise agreed in a collaboration agreement.
All content contributed to a project is subject to the license granted to ProCollabs under Section 7. This ensures ProCollabs can host, display, and facilitate collaboration.
Contributors retain ownership of their individual contributions unless a separate collaboration agreement specifies otherwise (e.g. as a work for hire). Collaborators may use contributions only within the project. Reuse outside the project requires explicit permission.
For projects with multiple contributors, joint ownership and split rights are determined by the project agreement. Ownership agreements are finalized upon project completion.
If a member leaves the platform, they may delete all of their individual contributions and revoke permissions for continued inclusion in the project. Project collaborators must delete or remove any contributions they do not have permission to use.
Alternatively, the departing member may chose to transfer control of their contributions to the project administrator. In this case, the original license granted to ProCollabs and collaborators remains intact. Content ownership transfers do not terminate or reduce the perpetual license previously granted to ProCollabs.
Collaborators remain responsible for ensuring that all project content complies with copyright, intellectual property, and other applicable laws, including cover songs, remixes, derivative works, and media hosted externally (e.g., YouTube links). ProCollabs provides tools to mark and manage project content but does not provide legal approval or licensing.
ProCollabs is a platform that facilitates connections and collaboration between users but does not participate in, control, or mediate interactions between members.
You acknowledge and agree that ProCollabs is not responsible for the actions, conduct, content, or behavior of any user on the platform. This includes, but is not limited to:
ProCollabs has no obligation to intervene in, mediate, or resolve disputes between users. Any such disputes must be resolved directly between the parties involved.
ProCollabs may, at its sole discretion, take actions such as removing content, suspending accounts, or restricting access where a violation of these Terms is suspected, but is not required to do so.
You understand and accept that collaborating with other users involves inherent risks, including but not limited to loss of content, disagreements, or unauthorized use of your work. You participate in all interactions and collaborations at your own risk.
To the fullest extent permitted by law, ProCollabs shall not be liable for any claims, damages, losses, or consequences arising out of or related to disputes or interactions between users, including any indirect or consequential losses.
Fundamentally, ProCollabs does not support or encourage the use of AI for artistic purposes. The site is intended for human collaboration and creators. If members choose to use AI, any use of AI must be disclosed.

Accurate metadata is required for songwriters, composers, performers, ownership splits, and rights holders.
Incorrect metadata may lead to delayed payments, content removal, or disputes.
All paid memberships, add-ons, and account upgrades are non-refundable and non-transferable.
ProCollabs operates on a freemium model where users may access the platform without payment. Upgrading to a paid membership is entirely optional. By choosing to upgrade, you acknowledge and agree that you are purchasing access to enhanced features and benefits on a voluntary basis.
Except where required by applicable law, ProCollabs does not provide refunds for membership fees, add-ons, or other purchases once payment has been processed.
In rare and exceptional circumstances, ProCollabs may, at its sole discretion, consider refund requests. Any such decision is made on a case-by-case basis and does not establish a precedent or obligation to provide refunds in the future. Any such requests must be made within 30 days of the payment date. Requests after this window will not be considered.
Paid memberships and associated benefits cannot be transferred to another user or account under any circumstances.
ProCollabs makes no guarantees regarding income, sales, collaboration opportunities, or financial outcomes from use of the platform.
Deleting your account forfeits membership benefits and any remaining cash balance, credits, or add-ons.
All uploaded content will be deleted.
You will not be entitled to any refund, compensation, or claim of funds once your account is deleted.

ProCollabs provides a platform for music collaboration and content hosting. We do not verify content ownership, review content for legal compliance, or act as a publisher, label, or distributor.
ProCollabs implements reasonable technical and organizational measures to protect user data.
No Guarantee: ProCollabs cannot guarantee the platform is free from unauthorized access, hacking, malware, or other security breaches.
User Responsibility: Content, including unpublished music, may be exposed to risk of theft, loss, or unauthorized copying.
Backups Recommended: You are responsible for maintaining your own copies of all uploaded content. ProCollabs may delete content in accordance with these Terms.
Limited Liability: For limitations of liability regarding cybersecurity incidents, see Section 18 – Legal.
Incident Reporting: Users must promptly notify ProCollabs of suspected security breaches or account compromise.
ProCollabs may provide links, embeds, or integrations with third-party services to enhance functionality or content sharing. Examples include:
When accessing or using third-party services, you do so at your own risk. ProCollabs does not control, monitor, or guarantee the content, legality, availability, uptime, security, or privacy practices of any third-party service.
ProCollabs does not share, sell, or otherwise provide your personal data to third-party services, except as required to enable functionality (e.g., processing a payment through PayPal or hosting content via AWS) and in accordance with our Privacy Policy.
Any issues, interruptions, or losses arising from third-party services are not the responsibility of ProCollabs. All liability and protections related to third-party content or integrations are governed under Section 18 (Legal).
Users should review the terms of service, privacy policies, and usage guidelines of any third-party service they interact with through ProCollabs.
Modification, Suspension, Sale, or Discontinuation: ProCollabs may, at its sole discretion, modify, suspend, sell, transfer, or permanently discontinue the platform, in whole or in part, for any reason.
Advance Notice: Where reasonably possible, ProCollabs will provide notice to users of any planned closure, sale, or major platform suspension. Notice may be provided via email, in-platform notifications, or posted announcements.
User Responsibilities: Users are responsible for backing up all content, project files, and associated data, and for withdrawing any account balances prior to closure or transfer. ProCollabs is not responsible for content, balances, or benefits that are not withdrawn or backed up before such events.
Transfer to New Owner: In the event of a sale or transfer, accounts, content, and licenses may be transferred to the new owner. User ownership rights in content, as granted under these Terms, remain intact. The new owner assumes the same obligations regarding the licenses granted to ProCollabs.
No Liability: ProCollabs is not liable for any loss, damage, or indirect effects arising from modification, suspension, closure, sale, or transfer of the platform, including but not limited to lost content, revenue, project participation, or account benefits. Users expressly waive any claims for compensation in such circumstances.
Final Access and Support: Access to the platform, support services, or withdrawals may be limited or unavailable after closure or transfer. Users should complete all necessary downloads and transactions promptly.
Use at Your Own Risk: The ProCollabs platform, its services, and all content are provided on an “AS IS”, “WITH ALL FAULTS”, and “AS AVAILABLE” basis. You use ProCollabs entirely at your own risk. ProCollabs does not guarantee uninterrupted service, accuracy, completeness, safety, or security of any content, data, or interactions on the platform.

In no event shall ProCollabs, its affiliates, or any of its officers, directors, employees, agents, or contractors be liable for any:

ProCollabs is not liable for events beyond its control, including cyber incidents, infrastructure failures, or third-party outages.
All platform IP, branding, and technology remain owned by ProCollabs.

ProCollabs provides a platform for collaboration but assumes no responsibility for user actions, content legality, or outcomes.
You use the platform entirely at your own risk.
